Welcome to ConstructionCoach.com, a web-based directory of home construction and improvement products and services, operated by Construction Coach, LLC. Access to or use of our website at uniform resource locator (URL) (the "Website") is subject to these Terms of Use, whether or not you are a registered user of the Website. If you do not agree to abide by these Terms of Use do not use or access the Website. Any use of or access to the Website or its contents other than as authorized in these Terms of Use is strictly prohibited.

Prohibited Conduct

While using or accessing the Website, you shall not:

• Post any materials that are pornographic, defamatory, libelous, harassing, or unlawful;
• Post false, inaccurate, misleading information;
• Distribute or post spam, chain letters, or pyramid schemes;
• Distribute viruses or any other technologies that may harm Construction Coach, or the interests or property of other users or Vendors;
• Violate any laws;
• Violate third party rights;
• Violate our policies, guidelines, or instructions;
• Attempt to access or use the Website if your user registration is temporarily or indefinitely suspended or terminated;
• Manipulate or interfere with any Vendor's listings;
• Circumvent or manipulate our Independent Contractor Commission structure, the billing process, or Vendor Fees owed to Construction Coach;
• Take any action that may undermine the Ratings System;
• Harvest or otherwise collect information about Vendors, including email addresses, without their consent;
• Use any robot, spider, scraper or other automated means to access the Website, or bypass robot exclusion headers or other measures used to restrict access to the Website;
• Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
• Copy, reproduce, modify, create derivative works from, distribute, or publicly display any material from the Website (other than material posted by you) without the prior expressed written permission of Construction Coach and/or the appropriate third party, as applicable; or
• Interfere or attempt to interfere with the proper working of the Website or any activities conducted on the Website.

Construction Coach requests your help in keeping our Website working properly and safely. Please report problems, inappropriate content, and policy violations to us.

Certain features and functions of the Website may be in passcode-protected sections, accessible only to registered users. If you choose to register, you may be subject to terms of a registration agreement, which you will have an opportunity to review prior to registration.

All content on the Construction Coach Website, including designs, text, graphics, pictures, video, information, applications, software, music, sound, and other files, and their selection and arrangement, are the property of Construction Coach, its Vendors, or its licensors. No content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without Construction Coach's prior written permission.

Construction Coach, constructioncoach.com, the Construction Coach logo, and other graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks, or trade dress of Construction Coach (or its licensors) in the United States and/or other countries.

Nothing in these Terms of Use is intended to confer any license to intellectual property rights, whether by estoppel, implication, or otherwise.

Vendors provide their own Vendor Listing Information. Some Vendors are referred by Independent Contractors, who may not be known to Construction Coach.

Solely Vendors are responsible for the Vendor Listing Information, Contents, and Comments they upload or post. Construction Coach does not accept responsibility for any such Vendor postings.

In order to protect the integrity of the Ratings System and make it a useful resource for all Users, you agree that you will provide Reviews and rate Vendors only based on actual experiences with Vendors. You are requested to provide factual information regarding your experience(s) (although your opinions are also welcome). Solely the User providing the Review is responsible for its content (including if the Review is defamatory).

You assign to Construction Coach all copyright, publicity, moral, and database rights in Reviews and information submitted by you as part of the Ratings Systems.

We may collect and use information about you as described in the Construction Coach Privacy Policy.

The Website contains advertisements and/or links to other websites, including to Vendor websites. Linking to a third party website does not imply Construction Coach's approval or endorsement of such third party website, its content, or its owners and creators. Construction Coach does not investigate such third-party websites, and we are not responsible for any third party websites accessed through a link on the Construction Coach Website. If you decide to access any third party websites, you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Construction Coach Website.

You will not hold Construction Coach responsible for actions or inactions of Vendors or other users. You acknowledge that the Website merely provides a directory of home construction and improvement products and services, and the Vendor Listing Information is provided by each Vendor. Construction Coach does not confirm, or even monitor, Reviews by other Users. The Rating System is automated, and should not be construed as Construction Coach's approval or disapproval of a Vendor.

Construction Coach is not involved in, and does not benefit from, any transaction between a Vendor and a user. Construction Coach has no control over and cannot guarantee the quality, legality, or safety of products and services provided by any Vendor, the right (e.g., license) of a Vendor to sell products or services, or the truth or accuracy of Vendor Listing Information.

Construction Coach does not guarantee continuous or secure access to the Website. Numerous factors outside of Construction Coach's control may interfere with operation of the Website. Accordingly, to the extent legally permitted, we disclaim all warranties. CONSTRUCTION COACH IS NOT LIABLE FOR ANY LOSS OF MONEY, LOSS OF INFORMATION, GOODWILL, OR REPUTATION, OR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF OR ACCESS TO THE WEBSITE. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

Regardless of the previous paragraphs, IF CONSTRUCTION COACH IS FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO $100.

If you have a dispute with any Construction Coach Vendor or user, you release Construction Coach and (and our members, officers, agents, and employees) from claims, demands, and damages (actual and consequential) of every kind, known and unknown, arising out of such dispute.

You will indemnify, defend, and hold harmless Construction Coach (and our members, officers, agents, and employees) harmless from any claims and costs, including reasonable attorneys' fees, arising out of your acts or omissions, your use of the Website, or your violation of any law or the rights of a third party.

Construction Coach may amend these Terms of Use at any time by posting the amended terms on the Website.

Construction Coach is located in and operates entirely within the State of Connecticut. You agree that any claim you may have against Construction Coach must be resolved by a state or federal court located in Fairfield County, Connecticut or a federal court located in Connecticut. You agree to submit to the personal jurisdiction of the courts located in Fairfield County, Connecticut, for the purpose of litigating all such claims. The laws of the State of Connecticut govern all matters arising out of these Terms of Use, without regard to conflict of law principles.

Construction Coach does not provide refunds.
